The AGM will follow dinner. Members who wish to attend the meeting only are welcome to arrive after dinner without purchasing a dinner ticket.

At the AGM, members will receive the financial statements, hear reports on the Society’s activities, elect the Board for the coming year, and consider proposed bylaw amendments.

Only members in good standing are entitled to vote at the AGM. Proxy voting is not permitted.

Director Nominations

To support an efficient and fair election process, nominations for election to the Board must be submitted by May 6, 2026 before the AGM. This allows the Society to confirm eligibility and prepare the election materials. No nominations will be accepted from the floor at the AGM.

As of the date of posting, 18 nominations have been received. If no further eligible nominations are received by the deadline, the nominees will be elected by acclamation. If the number of eligible nominees exceeds the number of available positions, the election will be conducted in accordance with the election process described in the Election Materials.

Proposed Bylaw Changes

Members will be asked to consider several proposed bylaw amendments at the AGM. In summary, the proposed changes would:

• clarify the distinction between legal Members and Associate Members;

• allow eligible Associate Members to serve as directors and to fill certain Board vacancies;

• allow the Board to determine the number of directors to be elected each year within the bylaw range;

• formalize the process for advance nominations and confirm that nominations will not be accepted from the floor;

• change director terms to two years and update consecutive service limits;

• add a process for Board removal of a director for cause; and

• clarify when a director ceases to hold office.
